These Terms & Conditions (“Terms”) govern your access to and use of the POPVAULT website and purchases made through it. POPVAULT is operated from the Republic of Azerbaijan. By using the website, creating an account, submitting an order, or purchasing from POPVAULT, you agree to these Terms, subject to mandatory rights that cannot lawfully be excluded.

1. Seller and Scope

POPVAULT (“POPVAULT,” “we,” “us,” or “our”) operates an international online store specializing in collectible figures, designer toys, limited-edition products, and related collectibles.

The legal entity name, registered details, tax information, and official contact details of the website operator are displayed in the website footer and/or the website’s official contact information.

These Terms apply to purchases made through the POPVAULT website. The principal legal framework for POPVAULT is the law of the Republic of Azerbaijan, including applicable provisions of the Civil Code, the Law “On Consumer Rights Protection,” the Law “On Electronic Commerce,” and other applicable legislation. Azerbaijani consumer law expressly provides that contractual terms restricting statutory consumer rights are invalid.

Where mandatory consumer law of the customer’s jurisdiction applies and cannot lawfully be excluded, that mandatory law prevails over any inconsistent provision of these Terms.

2. Eligibility

You must have legal capacity to enter into a binding contract under the laws applicable to you. POPVAULT is intended primarily for persons who have reached the age at which they may independently enter into contracts under applicable law. Where a customer has not reached that age, a parent or legal guardian must place or expressly authorize the order where required by law.

Products may be purchased as gifts for minors. The purchaser is responsible for ensuring that the product is suitable for the intended recipient and for observing any manufacturer age recommendations, warnings, or safety instructions. Purchasing a product as a gift does not make the minor a contracting party to the sale.

You agree to provide accurate, current, and complete information when placing an order and to keep that information accurate until the order has been delivered.

3. Products and Product Information

We make reasonable efforts to ensure that product names, descriptions, photographs, dimensions, specifications, availability, and other information are accurate. However, information may occasionally contain typographical, technical, supplier, or photographic errors.

Product appearance may vary due to photography, lighting, screen settings, manufacturing batches, production tolerances, or packaging revisions.

Collectibles may have minor manufacturing characteristics, including small paint variations, minor surface marks, slight alignment differences, seams, molding variations, or minor packaging imperfections. Unless expressly stated otherwise, these characteristics do not necessarily constitute a defect.

Where a product is described as limited, exclusive, discontinued, rare, or otherwise collectible, such description refers to the product’s availability or edition status and does not constitute a representation of future market value, investment potential, scarcity beyond the information supplied, or resale value.

4. Authenticity and Third-Party Brands

POPVAULT intends to sell genuine products sourced through legitimate suppliers and distribution channels and does not knowingly offer counterfeit products.

Third-party trademarks, character names, logos, artwork, product designs, and brand names belong to their respective owners. POPVAULT’s sale of a third-party product does not imply ownership of, sponsorship by, endorsement by, or affiliation with the relevant brand unless expressly stated.

Where product information is supplied by a manufacturer, distributor, or other third party, POPVAULT may rely on that information and may update listings when the underlying information changes.

5. Prices, Currency, Taxes, and Duties

Prices displayed on the website may be presented in a currency determined by the customer’s country, region, or applicable website settings. Unless expressly stated otherwise at checkout, the transaction, order accounting, and payment processing are conducted in USD (United States Dollars). Any displayed local-currency amount may therefore be an informational or converted display amount and may differ from the final amount charged by the payment provider because of exchange rates, conversion methods, or bank charges.

We may change prices, promotions, product availability, or other commercial terms at any time before an order is accepted.

We reserve the right to correct obvious pricing, typographical, technical, or inventory errors. If an order was placed using an obviously incorrect price, we may cancel the order and refund any amount already paid.

Unless expressly stated at checkout, product prices do not necessarily include destination-country sales tax, VAT, GST, customs duties, import fees, brokerage charges, handling fees, or other charges imposed by the destination country or its authorities.

Where such charges are not collected by POPVAULT at checkout, they are the responsibility of the customer. The customer is responsible for understanding and complying with applicable import requirements in the destination country.

6. Orders and Acceptance

Submitting an order is an offer by you to purchase the selected products. An automated order acknowledgement confirms receipt of your order but does not necessarily constitute acceptance of the order.

An order becomes accepted when POPVAULT confirms acceptance or otherwise begins fulfilling the order, unless applicable law provides otherwise.

We may refuse, limit, or cancel an order before acceptance, or where permitted by applicable law after acceptance, including where:

  • a product is unavailable or incorrectly listed;
  • an obvious price or product-description error occurred;
  • payment cannot be verified or authorized;
  • we reasonably suspect fraud, unauthorized activity, abuse, or unlawful conduct;
  • the order appears to be placed for prohibited resale, automated purchasing, or circumvention of quantity limits;
  • the requested destination is unavailable or restricted;
  • shipment is prohibited by applicable law, sanctions, carrier rules, customs restrictions, or product restrictions; or
  • circumstances beyond our reasonable control prevent fulfillment.

If we cancel a paid order, we will refund the amount actually paid for the cancelled order through the original payment method where reasonably possible, subject to applicable law and payment-provider rules.

7. Limited Releases, Drops, and Pre-Orders

Limited products may be subject to purchase limits, release windows, allocation limits, or limited stock.

For pre-orders, estimated release and dispatch dates are estimates only and may change due to manufacturer, supplier, production, transportation, customs, or other circumstances. A pre-order does not guarantee delivery on a particular date unless expressly stated as a guaranteed date.

If a pre-order is delayed, discontinued, or becomes unavailable, POPVAULT may provide the remedy required by applicable law, which may include cancellation and refund.

Unless expressly stated otherwise, customers may not assume that a pre-order secures a particular market value, future availability, or resale price.

8. Payment and Fraud Prevention

Payment methods available at checkout are provided by POPVAULT or third-party payment providers. Additional payment-provider terms may apply.

You authorize the applicable payment provider to charge the amount shown at checkout using the selected payment method.

You must not use a payment method without authorization from its owner.

POPVAULT may conduct reasonable verification checks and may request additional information where necessary to prevent fraud, payment abuse, or unauthorized transactions.

We do not knowingly store complete payment-card details where those details are processed directly by a third-party payment provider. The relevant payment provider’s terms and privacy practices may apply to payment processing.

9. Shipping and Delivery

We offer international delivery and may use DHL, FedEx, or other reputable delivery and logistics providers depending on the destination, service availability, and order requirements. We may restrict or exclude destinations where shipping is unavailable, prohibited, commercially impractical, or subject to legal, customs, sanctions, carrier, or product restrictions.

Orders are generally prepared for dispatch within 3–5 working days. International delivery is generally estimated at approximately 15–20 days after dispatch, but these periods are estimates rather than guaranteed delivery dates unless expressly stated otherwise. Shipping methods, applicable costs, and any available delivery options are displayed at checkout.

Delivery may be affected by customs clearance, import procedures, carrier delays, weather, public holidays, strikes, transportation disruption, incorrect address information, recipient unavailability, government action, or other events outside our reasonable control.

You are responsible for providing a complete and accurate shipping address, recipient name, telephone number, and other information required for delivery.

If a shipment cannot be delivered because of an incorrect or incomplete address, refusal to accept delivery, failure to complete required delivery procedures, or repeated delivery failure, any refund, reshipment, or additional shipping charge will be handled in accordance with applicable law and the circumstances of the order. POPVAULT may deduct reasonable non-recoverable costs where legally permitted.

If you identify an incorrect or incomplete delivery address after placing an order, you must notify POPVAULT through its official contact channels within 14 working days. We will make reasonable efforts to assist, but an address change cannot be guaranteed after dispatch.

For customers in Azerbaijan, an available pickup option may be offered where indicated at checkout or through POPVAULT’s official channels.

Unless a promotional or order-specific offer states otherwise, international shipping may be charged at a fixed rate of USD 20. POPVAULT may change shipping rates, delivery methods, or promotional free-shipping conditions from time to time; the conditions applicable to the order at checkout will apply to that order.

10. Customs, Importation, and Restricted Destinations

International orders may be subject to customs inspection, import duties, VAT/GST, brokerage fees, clearance charges, or other destination-country requirements.

The customer is responsible for complying with the laws and import requirements of the destination country, except to the extent POPVAULT has expressly undertaken responsibility for a particular charge or obligation.

Customers must not order products for import into a jurisdiction where their import, possession, sale, or use is prohibited.

POPVAULT may refuse or cancel an order where we reasonably believe that shipment would violate applicable law, sanctions, customs restrictions, carrier rules, or other legal requirements.

11. Delivery Damage, Missing Items, and Incorrect Orders

Please inspect the package and its contents as soon as reasonably possible after delivery.

If an item arrives damaged, defective, incorrect, incomplete, or materially different from the order, contact POPVAULT promptly through the contact details provided on the website.

To help us investigate, we may request photographs or video showing the outer package, shipping label, inner packaging, product, and damage or discrepancy.

Failure to report an issue immediately does not remove any mandatory statutory rights you may have. However, prompt notification helps us investigate carrier and fulfillment claims efficiently.

12. Returns, Refunds, Exchanges, and Statutory Rights

Returns and refunds are governed by our separate Returns & Refunds Policy, which forms part of these Terms.

Nothing in our return policy or these Terms is intended to exclude, restrict, or waive mandatory consumer rights applicable to your purchase. Under Azerbaijani consumer-protection legislation, a contractual provision restricting statutory consumer rights is invalid.

For customers located in jurisdictions providing a statutory cooling-off or withdrawal right, POPVAULT will honor that right in accordance with the applicable law. For example, EU consumer rules generally provide a 14-day withdrawal period for qualifying online purchases, subject to statutory exceptions.

Where a statutory withdrawal right applies, the customer’s obligations, return shipping costs, refund timing, and permitted deductions will be determined by the applicable law. We will not impose a contractual restriction that unlawfully removes such rights.

For defective or non-conforming goods, the remedies available to you will be those required by the applicable law. In the EU, for example, qualifying consumer purchases are subject to statutory legal-guarantee protections in addition to withdrawal rights.

13. Collectible Packaging and Condition

POPVAULT recognizes that packaging may form part of a collectible’s value. Unless a product listing expressly guarantees a particular packaging grade or condition, minor factory or transport-related imperfections that do not materially affect the product may occur.

Where a customer exercises a lawful return right, the customer must handle the product only as reasonably necessary to inspect its nature, characteristics, and functioning, subject to applicable law.

Where permitted by applicable law, a refund may be reduced to reflect diminished value caused by handling beyond what is reasonably necessary for inspection.

14. Product Safety and Use

Products must be used only for their intended purpose and in accordance with manufacturer instructions, warnings, age recommendations, and applicable safety information.

Customers are responsible for reviewing product warnings and determining whether a product is appropriate for the intended recipient.

POPVAULT does not recommend modifying, altering, disassembling, or using collectible products in a manner contrary to manufacturer instructions.

Nothing in these Terms limits any mandatory product-safety rights or remedies.

15. Promotions, Discounts, and Purchase Limits

Promotions, discount codes, giveaways, limited drops, and purchase limits may have additional terms displayed with the relevant offer.

Unless expressly stated otherwise:

  • discounts cannot be exchanged for cash;
  • discounts cannot be applied retroactively to completed orders;
  • multiple promotional codes may not be combined;
  • purchase limits apply per customer, household, account, payment method, or delivery address where stated or where reasonably necessary to prevent abuse; and
  • POPVAULT may withdraw a promotion where required by law or where an obvious error, fraud, abuse, or technical malfunction has occurred.

Mandatory consumer rights are not affected by promotional terms.

16. Website Availability and Accuracy

We aim to keep the website available and accurate, but we do not guarantee uninterrupted, error-free, secure, or continuously available operation.

Website content may be changed, suspended, corrected, or removed at any time.

We are not responsible for temporary unavailability caused by maintenance, hosting issues, internet failures, cyber incidents, third-party services, or events outside our reasonable control, subject to any liability that cannot legally be excluded.

17. Accounts and Security

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account, except where the applicable law provides otherwise.

You must notify us promptly if you suspect unauthorized access to your account.

We may suspend or terminate accounts involved in fraud, abuse, unlawful activity, security violations, or material breaches of these Terms, subject to applicable law.

18. Prohibited Conduct

You must not:

  • use the website for unlawful purposes;
  • submit false, fraudulent, or misleading information;
  • use another person’s payment method without authorization;
  • interfere with website security or functionality;
  • attempt unauthorized access to systems or accounts;
  • use bots, scripts, scraping systems, or automated purchasing tools to circumvent website controls or purchase limits;
  • reproduce or commercially exploit POPVAULT content without authorization; or
  • engage in conduct that could damage POPVAULT, its customers, suppliers, payment providers, or service providers.

19. Intellectual Property

The POPVAULT name, logo, website design, original text, graphics, photographs, marketing materials, and other original website content are owned by or licensed to POPVAULT or the relevant rights holder and are protected by applicable intellectual-property laws.

You may access and use website content for personal, non-commercial purposes in connection with using the website. You may not reproduce, distribute, modify, publish, sell, or commercially exploit protected content without prior written permission, except where permitted by law.

Third-party trademarks and intellectual property remain the property of their respective owners.

20. User-Submitted Content

If you voluntarily submit reviews, photographs, comments, testimonials, or other content to POPVAULT, you represent that you have the necessary rights to submit that content and that it does not unlawfully infringe another person’s rights.

To the extent permitted by applicable law, you grant POPVAULT a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content for legitimate business, marketing, website, and social-media purposes, subject to our Privacy Policy and applicable law.

We may remove user-submitted content that is unlawful, abusive, misleading, infringing, or otherwise inappropriate.

21. Third-Party Services and Links

The website may use third-party services, including payment processors, shipping providers, analytics services, hosting providers, social-media services, and other technology providers.

Third-party services may be governed by their own terms and privacy policies. POPVAULT is not responsible for the independent acts, omissions, policies, availability, or security practices of third-party services except where liability cannot legally be excluded.

22. Privacy and Personal Data

Our collection and use of personal information is governed by our Privacy Policy.

Depending on where you are located and how POPVAULT operates, different privacy and data-protection laws may apply. We will process personal information in accordance with applicable law and our published Privacy Policy.

23. Chargebacks and Payment Disputes

If you believe a transaction is unauthorized, incorrect, or otherwise disputed, please contact POPVAULT promptly so that we can investigate and resolve the issue.

Nothing in this section prevents you from exercising any non-waivable rights you may have under applicable payment, consumer-protection, or other law.

Submitting a false or fraudulent chargeback or payment dispute may constitute unlawful conduct. POPVAULT reserves all rights available under applicable law in response to fraudulent claims.

24. Limitation of Liability

To the maximum extent permitted by applicable law, POPVAULT will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses, including loss of profits, revenue, business opportunity, anticipated savings, goodwill, or collectible resale value arising from or relating to the website, an order, delivery, or a product.

To the maximum extent permitted by applicable law, POPVAULT’s total liability arising from a particular purchase will not exceed the amount actually paid by the customer for the product or order giving rise to the claim, except where a higher amount is required by mandatory law.

Nothing in these Terms excludes or limits liability for matters that cannot legally be excluded or limited, including any liability that applicable law expressly prohibits a business from excluding.

25. Force Majeure

POPVAULT will not be responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, extreme weather, war, terrorism, civil unrest, epidemics, government action, sanctions, customs restrictions, transportation disruption, carrier failure, labor disputes, supplier failure, power or telecommunications failures, cyber incidents, payment-network failures, or other force majeure events.

Where legally required, we will provide any refund or other remedy required for an order that cannot be fulfilled.

26. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless POPVAULT and its officers, employees, contractors, and service providers from claims, losses, liabilities, costs, and reasonable expenses arising from your unlawful use of the website, fraud, intentional misconduct, violation of these Terms, or infringement of another person’s rights.

This section does not apply to the extent that the relevant claim results from POPVAULT’s own unlawful conduct or where such indemnification is prohibited by applicable law.

27. Governing Law and Mandatory Local Rights

These Terms are governed principally by the laws of the Republic of Azerbaijan.

Where the law of the customer’s jurisdiction grants mandatory consumer, product-safety, privacy, or other rights that cannot legally be waived by contract, those rights will continue to apply.

For international customers, mandatory local law may provide rights or remedies that differ from these Terms. Nothing in these Terms is intended to prevent a customer from exercising such rights.

28. Dispute Resolution

Before commencing formal proceedings, customers are encouraged to contact POPVAULT so that we can attempt to resolve the issue efficiently.

Nothing in this section limits any mandatory right to bring a claim before a competent court, consumer authority, alternative dispute-resolution body, or other forum where such a right cannot legally be excluded.

29. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

30. No Waiver

A failure by POPVAULT to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

31. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where applicable law permits otherwise.

POPVAULT may transfer or assign its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or other business transaction, subject to applicable law.

32. Changes to These Terms

We may update these Terms from time to time to reflect changes to our business, website, products, services, legal requirements, or security practices.

The current version will be published on this page with the applicable “Last Updated” date.

Changes will not retroactively alter rights and obligations that have already accrued, except where permitted or required by law.

33. Entire Agreement

These Terms, together with the applicable product information, checkout terms, Shipping Policy, Returns & Refunds Policy, Privacy Policy, and any other terms expressly incorporated into the purchase process, constitute the terms governing your use of the website and purchase from POPVAULT, subject to mandatory applicable law.

34. Contact
